OPERATING AGREEMENT

THIS OPERATING AGREEMENT (hereafter referred to as the “Agreement') is made at Delhi on this 24th day of August 2010.

BETWEEN

Meriton Infotech Private Limited, a company incorporated under the provisions of the Companies Act, 1956 and having its registered office at D-107, Panchsheel Enclave,New Delhi – 110017 (hereinafter referred to as the “Owner” which expression shall, unless it be repugnant to the context or meaning thereof, be deemed to mean and include its successors and permitted assigns) acting through Mr. Ravi Bhargav duly authorized signatory of the First Part.

AND

Khau.in, a proprietorship firm incorporated under laws of India and having its office at Ho. No. C-6, Sector 48, Noida-201301 (hereinafter referred to as the “Operator”, which expression shall unless it be repugnant to the context or meaning thereof, be deemed to include its successors and permitted assigns) acting through Mr. Ranbir Singh Negi, duly authorized signatory of the Second Part.

AND

Three C Facility Management Private Limited a company incorporated and existing under the Companies Act, 1956 and having its registered office at C-23, Greater Kailash Enclave, Part – 1, New Delh - 110048 (hereinafter referred to as the ‘Property Manager’ which expression shall, unless it be repugnant to the context or meaning thereof, be deemed to include its successors and permitted assigns), acting through Mr. Deepak Khurana who is duly authorize signatory of the Third Part.

The Owner, the Operator and the Property Manager hereinafter sometimes collectively referred to as the “Parties” and singly as a “Party”.

WHEREAS:

A. The Owner has been allotted a plot of land admeasuring 20,000 sq. mtrs. bearing No. B-9A in Sector-62, Noida (hereinafter referred to as “Plot”) by the New Okhla Industrial Development Authority (hereinafter referred to as “NOIDA”) on a leasehold basis for developing the said Plot for IT / ITES purposes pursuant to a Lease Deed...
