Adoption of Table “A”: a) What is Table ‘A’ Table ‘A’ is a Mode set of 85 articles contained in the First Schedule to the Companies Ordinance, 1984. b) Option to adopt Table-A: The articles shall be printed divided into paragraphs, numbered consecutively and signed b every subscriber to the memorandum and dated. d) Effect of Articles: Each member in his capacity as a member is bound to the Company by the provisions of the articles. The Company is bound to each member by the provisions of the article. The contractual force given to the articles by Section 31 of the Ordinance is limited to such provisions of the articles as apply to the articles as apply to relationship of the members in their capacity as members. e) 1- Alteration of Articles – (Section 28 of the Ordinance). Although, a Company has wide powers to alter its Articles of Association, yet such alterations in any clause of the articles can be made only if the same is permitted by the Memorandum of Association and Companies Ordinance, 1984. 2-Restrictions on Alteration: The companies Ordinance, 1984 has laid down the following limitations on the Company to alter its articles. Alteration in the articles can be made only by a special resolution (Section28). Alteration must not go beyond the company’s powers specified in the memorandum and articles, the memorandum prevails. Alteration must not contravene any of the provisions of the Companies Ordinance. Alteration must not impose additional liability on a member. This can be done only with the consent of at least three fourth of the affected members. Power of alteration is be exercised for the benefit of the Company is whole.
