Introduction
The Code of Business Conduct and Ethics (the “Code”) of RTL covers a wide range of business practices and procedures. It does not cover every issue that may arise but it sets out policies to guide all employees (including officers and directors) of the Company. All employees must conduct themselves according to these policies and seek to avoid even the appearance of improper behavior. Under this Code, each employee is expected to, amongst other things: * Engage in and promote honest and ethical conduct, including the ethical handling of actual or apparent conflicts of interest between personal and professional relationships; * Comply with applicable governmental laws, rules and regulations; * Be committed to the full, fair, accurate, timely and understandable disclosure in reports and documents that the Company files with, or submits to, ASIC and the ASX; and * Promptly report any possible violation of this Code to the appropriate person or persons. Those persons who violate the policies in this Code will be subject to disciplinary action, up to and including termination of employment and, in some cases, civil liability and criminal prosecution. Obeying the law, both in letter and in spirit, is one of the foundations upon which our ethical policies are built. Therefore, all employees must respect and obey all applicable governmental laws, rules and regulations. Although employees are not expected to know the details of these laws, rules and regulations, it is important to know enough to determine when to seek advice from supervisors, managers or other appropriate personnel.
