Introduction
Paradigm Toys Corporate Ethics Program involves standards that will need the commitment of the all employees, management and board of directors’ support to create and execute an effective code of conduct program. It is our guidebook for living our values and how business is conducted on a daily basis. The code of conduct applies to all members of the Board of Directors, corporate officers, management, employees, affiliated subsidiary and related companies. It will involve regular review and enhancement to ensure the program is responsive to the company’s evolving ethical needs.

A. Effective Powers
Based on the review and analysis of our most recent ethics audit, the recommendation to the board of directors is to utilize legitimate power for the purpose of promoting a culture that encourages and supports ethical conduct. Legitimate power is power received from a leader’s formal position and allows the leader to instruct his followers. Under this model, managers and other senior leadership will help employees to understand their responsibilities under the program; take opportunities to discuss the program and reinforce the importance of ethics and compliance. It further allows for the leader to undertake a high level of oversight and ultimate accountability of the ethics program. Paradigm Toys ethics program need to ensure that the values of the organization are adhere to by all.

B. Primary and Secondary Stakeholders
Paradigm Toys engages with many of its primary and secondary stakeholders. Primary stakeholders can have a direct impact on the overall relevance of the organization; whereas secondary stakeholders can have an indirect impact.
